1. Service Description

HLISTIX is an educational research, professional reference and documentation platform for qualified healthcare practitioners. The Service provides structured access to research and professional reference materials, practitioner-controlled documentation tools, and practitioner-facing software functions that may surface contextually relevant information based on practitioner-entered information.

The Service does not independently diagnose disease or other conditions, prescribe or select treatment, generate a patient-specific treatment plan or treatment directive, or replace the independent professional judgment of a qualified healthcare practitioner.

2. Eligibility

By using the Service, you represent that:

You are a licensed or authorized healthcare practitioner (where applicable)
You have authority to upload information processed through the Service
You are legally permitted to use the Service in your jurisdiction

Patient-specific professional workflow functions are intended for healthcare practitioners who are appropriately licensed, registered, certified, or otherwise authorized to provide the relevant healthcare services in their jurisdiction.

You may not use the Service to create, receive, maintain or transmit Protected Health Information subject to HIPAA where such use would require HLISTIX to act as your Business Associate, unless HLISTIX has expressly enabled such use and an applicable Business Associate Agreement is in effect.

Clinic records. Patient records and treatment summaries created in a clinic remain with that clinic. A practitioner cannot delete them by deleting their own account; an account that holds or belongs to clinical records is deactivated on request instead, and the records are retained for their custodian.

Evaluation users outside the United States. If you take part in an evaluation of the Service from outside the United States, you will enter only invented or de-identified cases and no real patient records, unless HLISTIX has agreed in writing to the terms required for your jurisdiction.

3. Intended Use

HLISTIX is intended to support professional research, education, documentation and independent practitioner review. Practitioner-facing evidence-support functions may analyze practitioner-entered medical information to identify and surface potentially relevant research, professional guidelines, reference materials and other professional sources.

HLISTIX does not make the clinical decision for the practitioner. It does not independently diagnose a patient, prescribe or select a treatment, generate a patient-specific treatment plan or issue a treatment directive. The practitioner independently reviews the underlying sources, determines their relevance, and remains responsible for all clinical assessment and decisions.

Applicable practitioner-facing evidence-support functions are designed around the Non-Device CDS criteria described in section 520(o)(1)(E) of the FD&C Act and FDA's January 2026 Clinical Decision Support Software Guidance.

Nothing in these Terms represents that FDA has reviewed, cleared, approved, certified or endorsed HLISTIX.

Clinical Responsibility Acknowledgment

By using this platform, you acknowledge:

The platform supports but does NOT replace independent clinical judgment
The platform does NOT automate or direct patient care decisions
All clinical decisions remain your sole responsibility as a licensed practitioner
Information and professional reference materials are provided to support independent practitioner review and must be evaluated in the context of the individual patient and the practitioner's professional judgment

Healthcare practitioners are solely responsible for their clinical decisions and patient care. Always use professional judgment and consider individual patient circumstances.

4. Practitioner Responsibilities

You acknowledge and agree that:

You are responsible for ensuring that you have all legally required rights, consents, authorizations and permissions to enter, store and communicate patient-related information through the Service
You determine whether data constitutes PHI or sensitive personal data
You are responsible for compliance with all applicable laws and regulations
You may not use the Service to create, receive, maintain or transmit Protected Health Information subject to HIPAA where such use would require HLISTIX to act as your Business Associate, unless HLISTIX has expressly enabled such use and an applicable Business Associate Agreement is in effect

HLISTIX maintains security and access-control measures for the information it processes. Nothing in this section transfers to you responsibility for the security of HLISTIX's own systems.

5. No Clinical Reliance

The Service:

Does not replace professional judgment
Must not be used as the sole or primary basis for a diagnosis, treatment selection or other clinical decision — practitioners must independently review relevant information and exercise their own professional judgment
Is not intended for emergency or time-critical medical use

6. Data Accuracy

Hlistix does not verify:

Accuracy of patient information
Completeness of documentation
Clinical appropriateness of practitioner notes or recommendations

7. Limitation of Liability

To the maximum extent permitted by law:

Hlistix shall not be liable for indirect, incidental, or consequential damages
Hlistix shall not be liable for clinical outcomes, patient harm, or regulatory violations arising from user actions

8. Indemnification

You agree to indemnify and hold harmless Hlistix from any claims arising out of:

Data uploaded by you
Your professional services
Your violation of applicable laws or regulations

9. Suspension and Termination

Access may be suspended or terminated for:

Violation of these Terms
Misuse of the Service
Legal or regulatory risk

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, United States.

Exclusive jurisdiction shall lie with the competent state and federal courts located in Orange County, California, United States.
